These Moneyhacks 2020 Terms & Conditions (“Terms and Conditions”) constitute a legally binding contract between you and/or your team (“You” and “Your Team”) and Circle Internet Financial, Inc. (“Circle” or “Sponsor”) and applies to You and Your Team’s participation in the Moneyhacks 2020 (“Hackathon”) and access to the Circle API Sandbox Environment (“Circle API Sandbox”), including use of any Circle APIs or other materials, documentation, data, content or code accessed through the Circle API Sandbox or otherwise provided by or on behalf of Circle in connection with the Hackathon or the Circle API Sandbox (collectively “Circle Materials”).
By registering for the Hackathon or accessing any Circle Materials and/or submitting a solution for consideration in the Hackathon, You and Your Team acknowledge and agree to (a) to abide by these Terms and Conditions, and any other guidelines or instructions provided to You by Sponsor and/or its representatives in connection with the Hackathon; (b) to comply with all applicable laws; (c) to be bound by the decisions of Sponsor and its representatives in connection with the Hackathon, which decisions are final and binding. To the extent that there is any discrepancy or inconsistency between these Terms and Conditions and any disclosures or other statements contained in any Moneyhacks 2020-related materials, these Terms and Conditions shall govern.
THE MONEYHACKS 2020 CHALLENGE: Join the Circle Hackathon, July 31, 2020 to August 2, 2020 to build the next generation of payments, commerce and finance with Circle APIs and the USD Coin (USDC) stablecoin. Projects need to be using Circle APIs (“Submission”). Deadline for Submissions is Sunday, August 2, 2020 at 12:00 PM EST.
ELIGIBILITY: Individuals who are at least 18 years of age as of the date of registration (“Eligible Individuals”) except for individuals who are residents of any country, state, province or territory where the laws of the United States or local law prohibits participating or receiving a prize in the Hackathon (including, but not limited to, Cuba, Sudan, Iran, North Korea, Syria and any other country designated by the United States Treasury's Office of Foreign Assets Control).
If a Team is entering the Hackathon, they must appoint and authorize one individual (the “Representative”) to represent, act, and enter a Submission, on their behalf. The Representative and each Team member who participates in the Hackathon must meet the eligibility requirements above. By entering a Submission in the Hackathon on behalf of a Team you represent and warrant that you are the Representative authorized to act on behalf of your Team.
REGISTRATION: Registration for the Hackathon ends July 31, 2020 at 12:00 PM EST.
JUDGING CRITERIA: Eligible Submissions will be evaluated by a panel of judges selected by the Sponsor (the “Judges”). Judges may be employees of the Sponsor or external, may or may not be listed individually on the hackathon website, and may change before or during the judging period. Sponsor will award prizes (“Prize”) to teams that, in Sponsor’s sole determination, best meet the following criteria:
PRIZE DESCRIPTION: The winners of the Hackathon will receive the following:
IMPORTANT NOTE ON CIRCLE API CREDITS PRIZE: In order to redeem the Circle API Credits Prize, the winning Team will need to: (i) be a fully organized and incorporated entity (i.e., Limited Liability Company, Corporation, etc.); (ii) apply for a Circle Business Account; (iii) complete Circle’s onboarding requirements; and (iv) subscribe to one of Circle’s Platform Services. For the avoidance of doubt, the Circle API Credits Prize will not be redeemed and credited to the winning Team until the winning Team has subscribed to one of Circle’s Platform Services.
GENERAL PRIZE CONDITIONS:
CIRCLE MATERIALS: Your use of any Circle Materials made available to You or Your Team by or on behalf of Circle in connection with the Hackathon will be governed by these Terms and Conditions. Subject to and conditioned upon You and Your Team’s compliance with these Terms and Conditions, Circle hereby grants to You and Your Team a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free license in the United States solely during the Hackathon and solely in connection with and for the express purposes of the Hackathon to develop and demonstrate Your Submission that incorporates or uses the Circle Materials in connection with the foregoing activities. You and Your Team understand and agree that Sponsor may restrict use of the Circle Materials in Your Submission during and/or after the conclusion of the Hackathon, at Sponsor’s sole discretion. You represent and warrant and agree that: a) You and Your Team will use the Circle Materials only for purposes permitted by and in accordance with the Terms and Conditions and applicable law and regulation and not for any commercial use, and that any future commercial use of the Circle Materials shall be subject to separate terms and conditions; and b) You and Your Team, jointly and severally, are responsible for (and neither Sponsor nor its affiliates have any responsibility to You, Your Team, or to any third party for): 1) any data, content, or resources that You or Your Team obtain, transmit, or display through Your Submission or the Circle Materials; and 2) any breach by You or Your Team of any of Your obligations under the Terms and Conditions, any applicable third party license, or any applicable law or regulation, and for the consequences of such breach. You and Your Team further represent that Your Submission does not infringe, either directly or indirectly, any Intellectual Property Rights of Circle unrelated to the Circle Materials or any Intellectual Property Rights of any third party. Any use of the Circle Materials shall include attribution to Circle as the source thereof and additionally shall contain all copyright and other proprietary notice or legend found on the original.
INTELLECTUAL PROPERTY RIGHTS: You will retain ownership of Your Submission, except to the extent of any Circle Intellectual Property Rights embodied or incorporated therein in accordance with the Terms and Conditions and subject to Circle’s ownership of any Circle IP.
You represent and warrant that You are (or Your team is) the sole creator of Your Submission and that You have obtained permission from all persons or Intellectual Property Right owners whose technology, materials, likeness, or work is contained therein for Your Submission as described in these Terms and Conditions.
You waive any and all claims that You may have against Sponsor or anyone participating in the Hackathon. By entering Your Submission, you acknowledge and agree that it will not be subject to any confidential treatment by Sponsor or other third parties. You also acknowledge that Sponsor has access to many ideas, concepts, and technologies, many of which may be similar or identical to Your Submission, and You will not have any claim against Sponsor or be entitled to any compensation as a result of Sponsor’s use of similar or identical material. You agree that Sponsor is not responsible for any unauthorized use of Your Submission (in whole or in part) by third parties.
PUBLICITY: Except where prohibited, by participating in the Hackathon, Participants consent to the use of his/her name, photo and/or likeness, biographical information, entry and statements attributed to Participant (if true) for advertising and promotional purposes.
DISCLAIMERS AND INDEMNIFICATION: TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES WILL SPONSOR OR ANY OF ITS PARENTS, SUBSIDIARIES, AFFILIATES OR VENDORS OR ANY OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS OF SPONSOR, OR ITS PARENTS, SUBSIDIARIES, AFFILIATES, OR VENDORS (COLLECTIVELY “SPONSOR PARTIES”) HAVE ANY LIABILITY FOR ANY LOSS OR DAMAGE RESULTING DIRECTLY OR INDIRECTLY FROM, WITHOUT LIMITATION, (A) YOUR PARTICIPATION IN THE HACKATHON; (B) YOUR USE OF ANY CIRCLE MATERIALS; (C) YOUR RECEIPT, USE OR REDEMPTION OF THE PRIZE; (D) YOUR INABILITY TO RECEIVE, USE OR REDEEM THE PRIZE; OR (F) LOST REVENUE, LOST PROFITS, ANTICIPATED PROFITS, LOST BUSINESS OR INJURY TO BUSINESS REPUTATION, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, UNDER ANY THEORY OF LIABILITY CAUSE OF ACTION WHETHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT OR OTHERWISE, REGARDLESS OF WHETHER ANY SPONSOR PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE CIRCLE MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITH NO WARRANTY. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE SPONSOR PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED WITH RESPECT TO THE HACKATHON, PRIZE, AND CIRCLE MATERIALS.
IN NO EVENT WILL THE SPONSOR PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES IN CONNECTION WITH THE HACKATHON, PRIZE, CIRCLE MATERIALS, AND TERMS AND CONDITIONS.
YOU HEREBY RELEASE AND AGREE TO INDEMNIFY AND HOLD HARMLESS THE SPONSOR PARTIES FROM ANY AND ALL DAMAGES, INJURIES, CLAIMS, CAUSES OF ACTION, LIABILITIES, COSTS AND EXPENSES (INCLUDING LEGAL FEES AND EXPENSES), OR LOSSES OF ANY KIND, KNOWN OR UNKNOWN, ABSOLUTE OR CONTINGENT, NOW OR IN THE FUTURE ARISING FROM OR RELATED TO: (A) YOUR FAILURE TO COMPLY WITH ANY OF THESE TERMS AND CONDITIONS, OR THE PARTICIPATION AGREEMENT; (B) ANY MISREPRESENTATION YOU MAKE UNDER THESE TERMS AND CONDITIONS, OR OTHERWISE TO CIRCLE; (C) YOUR PARTICIPATION IN THE THE HACKATHON; (D) YOUR RECEIPT, USE OR REDEMPTION OF THE PRIZE, OR YOUR INABILITY TO RECEIVE, USE OR REDEEM THE PRIZE; (E) YOUR USE OF THE PRODUCTS, SERVICES, DOCUMENTATION, DATA OR MATERIALS PROVIDED UNDER THESE TERMS AND CONDITIONS, OR YOUR SOLUTIONS OR THE USE OR DISTRIBUTION THEREOF; (F) ANY INFRINGEMENT OR ALLEGED INFRINGEMENT OF A PATENT, COPYRIGHT, TRADEMARK OR OTHER INTELLECTUAL PROPERTY RIGHTS OR PROPRIETARY RIGHT RELATING TO THESE TERMS AND CONDITIONS; OR (G) ANY BREACH OR ALLEGED BREACH BY YOU OF ANY REPRESENTATION, WARRANTY, OR OBLIGATION CONTAINED IN THESE TERMS AND CONDITIONS.
GOVERNING LAW/JURISDICTION: The laws of the Commonwealth of Massachusetts and applicable United States federal law, including the Federal Arbitration Action as specified herein, shall govern this Agreement. Except for those disputes that shall be resolved in arbitration or in small claims court pursuant to this section, each party agrees to submit to the personal and exclusive jurisdiction of the courts located in Boston, Massachusetts, USA provided that any claims or disputes shall be subject to the arbitration provisions set forth below. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought, in an individual capacity only, and not on a class-wide or representative basis, in the courts specified above), any dispute between you and Sponsor related in any way to, or arising in any way from, the Hackathon or these Terms and Conditions (“Dispute”) shall be finally settled on an individual, non-representative basis in binding arbitration in accordance with the American Arbitration Association (“AAA”) Rules for Arbitration (available from AAA on its website at www.adr.org), or in accordance with rules on which we may mutually agree; provided, however, that to the extent a Dispute is within the scope of a small claims court’s jurisdiction, either you or Sponsor may commence an action in small claims court, in the county (or equivalent) of your most recent physical address, to resolve the Dispute. Any arbitration will be conducted by a single, neutral arbitrator and shall take place in Boston, Massachusetts, USA. The arbitrator may award any relief that a court of competent jurisdiction could award, including attorneys’ fees when authorized by law. The arbitral decision may be enforced in any court of competent jurisdiction.
GENERAL CONDITIONS: Elements and details of the Hackathon, including any prizes to be awarded and the Hackathon itself, are subject to modification, suspension, and/or cancellation without notice at Sponsor’s discretion. Any activity inconsistent with these Terms and Conditions, will constitute grounds for disqualification from the Hackathon, in Sponsor’s sole discretion. Failure by Sponsor to enforce any term of these Terms and Conditions will not constitute a waiver of that provision or any other provision. You acknowledge that nothing in these Terms and Conditions will constitute an employment, joint venture, or partnership relationship between You and Circle. In no way are You to be construed as the agent or to be acting as the agent of Circle in any respect, and vice versa.
